Terms of Service
Last updated October 2, 2026
The short version. Monocle is run by niteshft. Your organization owns its specs, comments, decisions, and code; we only use them to run Monocle for you. Monocle uses AI to help write specs and to spot where the product no longer matches them. That AI can be wrong, so treat its findings as prompts to check, not as guarantees. Subscriptions are billed monthly per organization and you can cancel at any time.
1. Who we are and what these terms cover
These Terms of Service ("Terms") are an agreement between you and niteshft ("niteshft", "we", "us") and govern your use of Monocle, including the website at monocle.cloud, the web application, the Monocle GitHub App, and related services (together, the "Service").
If you use the Service on behalf of a company or other organization, you agree to these Terms for that organization and confirm you have authority to do so. In that case "you" means both you and that organization. If you do not agree to these Terms, do not use the Service.
2. The Service
Monocle helps product teams write feature specs, review them with engineering, and find out when the code in a connected repository stops matching what a spec describes. It explains differences in plain language and keeps a record of the decisions your team makes about them.
Monocle is currently offered as an early-access, invite-only service. Features may change, be added, or be removed as the product develops. We will try to give reasonable notice before removing anything your team relies on.
3. Accounts, organizations, and access
- You sign in with an email link or with a Google or Microsoft account. Keep access to that email account secure, because anyone who controls it can sign in as you.
- Work in Monocle belongs to an organization. Organization owners can invite and remove members, control who can access each project, connect repositories, and manage billing.
- Organization owners are responsible for who they invite and for the access they grant.
- You must give accurate account information and must be at least 16 years old.
- Tell us promptly at support@monocle.cloud if you think your account has been used without permission.
4. Your content
"Your Content" means everything you or your organization put into or connect to the Service. That includes specs, comments, review conversations, decisions, project settings, and the repository data Monocle reads through GitHub.
- You own Your Content. These Terms do not transfer any ownership to us.
- You give niteshft a limited, worldwide, non-exclusive license to host, copy, process, transmit, and display Your Content only as needed to provide, secure, and support the Service for you. This includes sending relevant parts of it to the AI providers listed in our Privacy Policy.
- We do not sell Your Content, and we do not use it to train AI models.
- You are responsible for having the rights to the content and code you connect, and for making sure connecting it does not breach any agreement you have with someone else.
5. GitHub and other connected services
When an organization owner installs the Monocle GitHub App, you authorize Monocle to access the repositories you select, with the permissions shown during installation. Monocle uses that access to read code, pull requests, and spec files, to post check results, and, when you ask it to, to create branches, commits, and pull requests that contain your specs. You can remove that access at any time by uninstalling the app in GitHub or disconnecting it in Monocle.
Your use of GitHub, Google, Microsoft, Stripe, and any other third-party service is also governed by that service's own terms. We are not responsible for third-party services.
6. AI features
Monocle uses third-party large language models to suggest improvements to specs, ask clarifying questions, interpret code changes, and decide whether code still matches a spec. Please keep in mind:
- AI output can be incomplete or wrong. Monocle may miss a real mismatch or report one that does not exist. Monocle supports your team's judgment; it does not replace code review, testing, or QA.
- You are responsible for reviewing AI suggestions before you accept them and for the decisions you record.
- Suggested text that Monocle generates for you is part of Your Content once you choose to keep it.
7. Fees and billing
- Monocle's GitHub monitoring and AI features require a paid subscription for the organization. The price is shown on the Billing page before you subscribe.
- Subscriptions are billed monthly in advance through our payment processor, Stripe, and renew automatically until canceled.
- You can cancel at any time from the Billing page. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- Fees are non-refundable except where the law requires otherwise, or where we decide to issue a refund.
- Prices do not include taxes. You are responsible for any applicable taxes.
- If a payment fails or the subscription ends, the organization's GitHub monitoring and AI features are switched off. You can still sign in and view existing work.
- We may change prices with at least 30 days' notice. A change takes effect at your next renewal after the notice period.
8. Acceptable use
You agree not to:
- use the Service for anything unlawful, or to store or send content you have no right to share;
- try to access another organization's data, or to get around access controls, rate limits, or billing;
- probe, scan, or test the Service's security without our written permission;
- disrupt the Service or put an unreasonable load on it, including through automated scraping;
- reverse engineer the Service, except where the law allows it despite this restriction;
- resell the Service or use it to build a competing product; or
- use the AI features to produce content that is unlawful or that violates the AI providers' usage policies.
We may suspend access that we reasonably believe breaks these rules or puts the Service or other customers at risk. Where practical, we will tell you first and give you a chance to fix the problem.
9. Our property and feedback
niteshft owns the Service, including its software, design, and branding. These Terms give you a right to use the Service. They do not give you any ownership of it. If you send us suggestions or feedback, we may use them without any obligation to you.
10. Security and confidentiality
We use reasonable technical and organizational measures to protect Your Content. Only people who need access to run and support the Service can reach it, and they handle it as confidential. Our Privacy Policy explains how we handle personal information.
11. Ending your use
- You can stop using the Service at any time. To close an organization or account, contact support@monocle.cloud.
- We may end or suspend your access if you materially breach these Terms, or if we stop offering the Service. If we stop offering the Service for reasons other than your breach, we will give at least 30 days' notice and refund any prepaid fees for the unused period.
- After an account or organization is closed, we delete its data as described in our Privacy Policy. Specs that Monocle committed to your repositories stay in those repositories.
- Sections 4, 9, and 12 to 15 continue to apply after these Terms end.
12. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the fullest extent the law allows, niteshft disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We also do not warrant that the Service will be uninterrupted or error-free, or that it will detect every difference between your specs and your code.
13. Limitation of liability
To the fullest extent the law allows:
- niteshft is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising from or related to the Service; and
- niteshft's total liability for all claims related to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) CAD $100.
Some jurisdictions do not allow some of these limits. Where that is the case, the limits apply only to the extent the law allows.
14. Indemnity
If a third party brings a claim against niteshft because of Your Content or your breach of these Terms, you agree to cover the reasonable costs, damages, and legal fees that result.
15. Governing law
These Terms are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Newfoundland and Labrador have exclusive jurisdiction over any dispute arising from these Terms or the Service, unless the law of your place of residence gives you a right to bring a claim elsewhere.
16. Changes to these Terms
We may update these Terms as the Service changes. If a change is material, we will tell organization owners by email or in the app at least 30 days before it takes effect. If you keep using the Service after a change takes effect, you accept the updated Terms.
17. General
These Terms and the Privacy Policy are the entire agreement between you and niteshft about the Service. If a court finds any part of these Terms unenforceable, the rest still applies. If we do not enforce a right right away, we have not waived it. You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or sale of assets.
